1. Agreement to Terms

By accessing or using ZXC Lab's services, website, or products, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Use License

Permission is granted to temporarily access the materials (information or software) on ZXC Lab's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

ZXC Lab provides technology consulting and development services including but not limited to:

• Artificial Intelligence and Machine Learning solutions
• Full-stack web and mobile application development
• DevOps and cloud infrastructure services
• IT consulting and resource outsourcing

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

4. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our service.

You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password.

5. Intellectual Property Rights

The service and its original content (excluding content provided by clients), features, and functionality are and will remain the exclusive property of ZXC Lab and its licensors. The service is protected by copyright, trademark, and other laws of both India and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of ZXC Lab.

6. Client Content and Confidentiality

You retain all rights to any content you submit, post or display on or through the service. By submitting content to us, you grant ZXC Lab a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such content solely for the purpose of providing services to you.

We are committed to maintaining the confidentiality of all client information and project details in accordance with industry standards and any signed Non-Disclosure Agreements.

7. Payment Terms

For services requiring payment:

• Payment terms will be specified in the project proposal or contract
• Late payments may incur additional fees as specified in the agreement
• All fees are exclusive of taxes, which will be added as applicable
• Refunds are subject to the terms outlined in specific project agreements

8. Project Deliverables and Timeline

Project timelines and deliverables will be defined in individual project agreements. While we strive to meet all deadlines, ZXC Lab is not liable for delays caused by:

• Client delays in providing necessary materials or feedback
• Changes in project scope or requirements
• Force majeure events beyond our reasonable control
• Third-party service provider failures

9. Limitation of Liability

In no event shall ZXC Lab, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the service
• Any conduct or content of any third party on the service
• Any content obtained from the service
• Unauthorized access, use or alteration of your transmissions or content

10. Warranty Disclaimer

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. ZXC Lab makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

11. Indemnification

You agree to defend, indemnify and hold harmless ZXC Lab and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of and access to the service, or your violation of these Terms.

12. Termination

We may terminate or suspend access to our service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or the use of our services shall be subject to the exclusive jurisdiction of the courts in Odisha, India.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
